Tax and Partnerships

This area refers to business partnerships and the necessity of all partners complying with self-assessment rules. This applies to individuals within a partnership. Our team will provide guidance, advice and support for you and your business partnership.

Types of Partnerships

There are different partnerships that can be formed in England. A general partnership: when all are liable for debts and obligations of that partnership. A limited partnership: which can include one or more general partners, liable for debts and obligations of that partnership; one or more general partners, liable for debts and obligations of that partnership limited to the amount they’ve invested.

A limited liability partnership (LLP): liable for its own debts, so the liability of the members of the LLP is usually limited to the amount of their financial contribution.

A general or limited partnership is not a corporate entity; it is a relationship between its partners. The LLP on the other hand is a ‘corporate body’ and can contract with third parties under its own name.

Tax Transparency

General partnerships, limited partnership and LLPs are often referred to as ‘tax transparent’. As a rule, this means the partnership itself is not liable to tax. Partners are taxable on their share of any profits or gains of the partnership as and when these arise, whether they are distributed or not. For LLPs there is more complexity around this area, and we can help guide you through it. However, this is a complicated area, and our team can assist with the computations and the partnership return or returns.

Statement of Financial Position, or the Balance Sheet: this will show the value of assets, liabilities and the equity of the company. Statement of Income and Expenses: showing the company’s income and expenses for the financial period Notes to the Accounts: providing additional, more in-depth details. Member’s report: as it sounds, this is a report to members of the partnerships
